Bid Clarifications
Bids provided by Electrical Material Partners, LLC (“EMP Sales”) are subject to the following clarifications
Terms:
Net 45 days for standard materials. For equipment requiring a deposit, the required deposit shall be invoiced as due upon receipt. Seller reserves the right to suspend performance, withhold shipment, or cancel orders for failure to comply with payment terms.
Shipment:
As noted above. All shipping dates and lead times are estimates only and are subject to verification at time of order. Seller shall not be liable for delays due to demand fluctuations, supply chain disruptions, material shortages, transportation delays, force majeure events, material approval delays, or other causes beyond Seller’s reasonable control.
Domestic Taxes:
No domestic federal, state, or local taxes are included in this quotation. Buyer is solely responsible for all applicable taxes, fees, assessments, or similar governmental charges arising from this transaction. If Buyer claims exemption, a valid and properly executed exemption certificate must be provided prior to order acceptance. Failure to provide such documentation authorizes Seller to charge applicable taxes. Buyer agrees to indemnify and hold Seller harmless from and against any taxes, interest, penalties, or costs assessed retroactively by any taxing authority related to this transaction.
Freight:
FOB Shipping Point. Freight, handling, insurance, storage, and any special routing charges are additional unless expressly stated otherwise.
Pricing:
Pricing is firm for 15 days from the quote date and is based solely on the information, specifications, scope, and quantities provided at the time of bid. Seller expressly disclaims responsibility for incomplete, inaccurate, or conflicting information provided by Buyer or third parties. Any changes to specifications, scope, quantities, delivery requirements, site conditions, or the provision of additional or contradictory information at any time before or after order placement may result in price adjustments. Seller reserves the right to correct clerical or computational errors.
Tariffs & Duties:
This quote is subject to any applicable U.S. or foreign government tariffs, duties, import/export fees, or other trade-related charges in effect at the time of shipment or importation. Seller reserves the right to adjust pricing to reflect changes in tariff rates, trade regulations, customs classifications, country-of-origin determinations, or other governmental actions. Any retroactive or post-shipment tariff or duty assessments shall be the sole responsibility of Buyer.
